Terms and Conditions
These Terms govern the use of Tawajud's application, website, and services by the Establishment, its administrators, and its employees.
A Service for Establishments
Manage attendance, employees, shifts, leave, documents, payroll, and reports.
Customer Responsibility
The Establishment is responsible for its users, data, settings, and the decisions resulting from them.
Attendance Location Verification
Location is requested when an attendance or field-work action requires it.
On-Device Biometrics
Face ID or fingerprint verification operates on the device; Tawajud does not receive the biometric template.
1. Acceptance and Eligibility
By using Tawajud, creating an Establishment account, or completing a subscription, the user agrees to and is bound by these Terms. Anyone accepting them on behalf of an Establishment represents that they are authorized to bind it and that the information provided is accurate and up to date.
Tawajud's electronic records, including login, acceptance, transaction, payment, and audit records, shall serve as evidence of dealings unless proven otherwise.
2. Service and Account
Tawajud provides human-resources and attendance-management tools according to the selected plan and available settings. The Customer is responsible for safeguarding its accounts, verification codes, and devices; assigning users and configuring their permissions; and revoking those permissions when duties change or employment ends.
All actions performed through the Customer's accounts or permissions granted by it shall be deemed issued by and binding on the Customer until Tawajud is notified of a verified compromise. Tawajud is not responsible for consequences arising from sharing login information or the Customer's failure to manage its users.
3. Establishment Responsibility
The Customer alone is responsible for the accuracy, completeness, and lawfulness of the data, instructions, and settings it enters, and for obtaining the notices, consents, and lawful bases required to process workers' data.
Reports and calculations are generated according to the Customer's data and settings. The Customer must review them before approving any salary, deduction, disciplinary measure, settlement, or employment or financial decision. Tawajud's tools are assistive and do not constitute legal or accounting advice. Tawajud is not responsible for incorrect data or for results the Customer has not reviewed.
4. Trial and Plans
Tawajud offers a free 7-day trial so the Customer can evaluate the Service before purchase. The trial does not automatically convert into a paid subscription. By completing payment, the Customer acknowledges that it reviewed the plan's features and limits and had a sufficient opportunity to assess its suitability.
The Customer's failure to use the trial does not create a contractual right to cancel a paid subscription or obtain a refund. Before payment, each plan states its employee capacity, term, features, and final price in Saudi riyals.
5. Payment and Renewal
- Each subscription is for a fixed term and is paid in advance in one payment.
- Subscriptions do not renew automatically. To continue using the Service after a subscription term ends, the Customer must select a plan and complete a new payment transaction.
- Payments are processed through an external payment provider.
- Tawajud does not retain full card details, but it retains the transaction reference, status, and amount.
- If a payment result is unclear, the Customer must check its status before trying again or raising a dispute.
If a payment that is properly due is canceled or refunded without legitimate cause, Tawajud may suspend the account until the amount is paid.
6. Final Fees and No Refunds
Once use of the subscription begins, or the Customer benefits from any paid feature, all fees become final and non-refundable. Use includes, for example, adding an employee, configuring a location or shift, recording attendance, uploading a document, or generating a report.
No refund, credit, or extension arises from the Customer voluntarily ceasing use, failing to log in later, not using the full term or capacity, or reducing its employee count. Nor is the value of any remaining term refundable where suspension or termination results from a cause attributable to the Customer.
If a transaction amount is charged twice, only the duplicate amount will be refunded. No other amount will be refunded unless Tawajud gives written approval or applicable law requires otherwise.
7. Upgrades and Downgrades
An upgrade to a higher capacity may take effect immediately for a prorated difference based on the remaining days, while the existing expiry date remains unchanged; no refundable credit arises from the upgrade. An immediate downgrade is not currently available. The Customer may choose a lower plan after the current plan expires, provided that it accommodates the number of active employees.
8. Location and On-Device Verification
The Establishment defines its workplaces, geofences, and attendance settings and is responsible for notifying its users and obtaining the required lawful basis. Tawajud may record coordinates, accuracy, distance, movement time, and device data, and may reject an action where a mock location, insufficient accuracy, an out-of-range location, or an unapproved device is detected.
Location and device records are operational indicators and do not, by themselves, guarantee an employee's physical presence; employment decisions remain the Establishment's responsibility. Face ID or fingerprint verification operates locally on the device, and Tawajud does not receive a biometric template or facial image.
9. Acceptable Use
Tawajud must not be used unlawfully, to share or impersonate accounts, manipulate location or attendance, exceed permissions or plan capacity, gain unauthorized access, disrupt the Service or test its security without permission, reverse-engineer, copy, or automatically extract the Service, or upload harmful content or content that violates the rights of others.
The Customer alone is responsible for its users, devices, and internet connection. Tawajud may block non-compliant content or actions and take measures necessary to protect the Service and data.
10. Data and Intellectual Property
The Customer retains its rights in its data and authorizes Tawajud to process, host, and transfer that data to the extent necessary to provide, secure, and support the Service, carry out the Customer's instructions, and meet legal requirements.
The Customer must keep independent copies of its important records and export what it needs before the subscription ends; Tawajud is not its sole archive. All rights in the application, trademarks, designs, software, and databases remain with Tawajud or its licensors. A subscription grants no right in them except limited use during the subscription term.
11. Availability, Support, and Third Parties
The Service is provided subject to availability. Tawajud does not guarantee uninterrupted or entirely error-free operation, or suitability for a purpose the Customer has not disclosed. Tawajud may carry out maintenance or updates, or impose a security suspension when necessary. No specific availability percentage, response time, or resolution time applies unless agreed in a separate written service-level agreement.
Some functions depend on cloud-infrastructure providers, data centers, databases, storage, telecommunications, internet, maps, messaging, notification, payment, and application-store services. Tawajud does not guarantee the continued availability of these providers' services or that they will be free of delay or error, and may replace any provider when it considers this appropriate to operate or protect the Service.
12. Force Majeure and Emergency Outages
Tawajud shall not be in breach and shall not be liable for any temporary delay, outage, or inability to provide the Service caused by an event beyond its reasonable control. Such events include the failure of a cloud provider, data center, database, telecommunications network, or electricity supply; a large-scale cyberattack; a governmental decision or restriction; a conflict, disturbance, or regional incident; a disaster or epidemic; or the failure of a critical supplier, provided the interruption is beyond Tawajud's control and does not result from its intentional act or negligence.
Affected obligations are suspended for the duration of the event. Tawajud may suspend the Service, alter how it is provided, or use an alternative provider. Tawajud will use reasonable efforts to mitigate the impact and restore the Service without guaranteeing a specific timeframe. A temporary outage does not automatically create a right to compensation, a refund, credit, or an extension of the subscription.
13. Suspension and Termination
Tawajud may immediately suspend or restrict the Service without prior notice if the subscription expires; payment is not made; a payment is disputed without justification; misleading information is provided; plan capacity is exceeded; these Terms are breached; fraud or manipulation is suspected; a security risk exists; the Service or a third party may be harmed; or a competent authority or necessary provider requires it.
A suspension resulting from the Customer does not pause or extend the subscription term and creates no right to a refund or compensation. The right to use the Service ends when the subscription expires or is terminated, and the Customer must export what it needs beforehand. After the applicable retention period, Tawajud may delete or de-identify the data.
14. Customer Responsibility and Indemnity
The Customer alone bears full responsibility for its data, content, instructions, and decisions, and for use of the account by it or its users. The Customer shall indemnify Tawajud, its owners, employees, and providers against any claim, loss, fine, or legal cost arising from the foregoing, including unlawful or unauthorized use, infringement of privacy or intellectual-property rights, or breach of these Terms.
15. Limitation of Liability
Tawajud shall not be liable for indirect loss, including loss of profits or reputation, or for loss of data of which the Customer should have retained a copy. Nor shall Tawajud be liable for the consequences of the Customer's decisions or for failures of the Customer's devices, networks, or third-party services.
The Customer is not entitled to compensation unless it proves clear and repeated failure by Tawajud. In all cases, compensation shall not exceed the subscription value paid for the most recent three months, unless applicable law requires otherwise.
16. Updates and Notices
Tawajud may develop the Service or amend these Terms prospectively. Security or legally required changes may take effect immediately when necessary, and the Customer will be notified of other material changes before they take effect. Continued use after the effective date constitutes acceptance.
Notices sent within the application or to the registered mobile number or email address are valid and effective. The Customer must keep its contact information up to date.
17. Governing Law and Jurisdiction
The relationship is governed by the laws and regulations of the Kingdom of Saudi Arabia. Unless a mandatory provision requires otherwise, the courts of the city in which Tawajud is headquartered shall have jurisdiction. The parties will first attempt an amicable resolution through support. If any provision cannot be enforced, the remaining Terms remain effective. If Tawajud does not enforce a right at a particular time, it may enforce that right later.
